Can a Foreigner Own Property or Start a Business in Pakistan?

A Comprehensive Legal Guide for Foreign Nationals, Overseas Investors and Foreign-Owned Businesses

Pakistan is increasingly attracting foreign investors, entrepreneurs and businesses looking at opportunities in real estate, technology, manufacturing, services, agriculture and other sectors.

One of the first questions such investors usually ask is:

“Can a foreigner legally own property in Pakistan?”

The second question usually follows:

“Can a foreigner establish and wholly own a business in Pakistan without having a Pakistani partner?”

The answer to both questions is yes, in principle, but subject to important legal, regulatory, tax, foreign-exchange and sector-specific requirements.

The legal position is therefore more nuanced than the commonly held belief that a foreigner either cannot own property in Pakistan or must necessarily have a Pakistani partner.

This article explains the principal legal considerations.

1. Foreign Investment in Pakistan: The General Position

Pakistan has a policy framework that generally encourages foreign investment.

The Board of Investment (BOI) states that all sectors and activities are open to foreign investment unless specifically prohibited or restricted for reasons including national security and public safety. The BOI also states that there is generally no minimum foreign-equity requirement and that 100% foreign ownership is permitted in many sectors, subject to specific sectoral restrictions.

Pakistan also has the Foreign Private Investment (Promotion and Protection) Act, 1976, which was enacted to provide for the promotion and protection of foreign private investment in Pakistan.

Accordingly, the starting point for a foreign investor is not that foreign investment is prohibited. Rather, the investor must determine what is being invested in, how the investment will be structured and what regulatory requirements apply.

2. Can a Foreigner Establish a Company in Pakistan?

Yes.

A foreign individual or foreign corporate entity can participate in a company incorporated in Pakistan, subject to the Companies Act, 2017, SECP requirements and any sector-specific licensing or regulatory requirements.

Depending upon the circumstances, a foreign investor may consider structures such as:

• A private limited company
• A public company
• A single-member company, where legally appropriate
• A limited liability partnership
• A Pakistani subsidiary of a foreign company
• A branch office of a foreign company
• A liaison office, where the permitted activities are suitable

The appropriate structure depends upon the nature of the proposed business and the investor’s objectives.

3. Does a Foreigner Need a Pakistani Partner?

Not necessarily.

This is one of the most common misconceptions.

Pakistan’s investment framework allows foreign investors to establish businesses without necessarily having a Pakistani partner in many sectors. The general investment framework allows foreign ownership up to 100% in many sectors. However, 100% foreign ownership should never be treated as a universal rule applicable to every business. Certain regulated sectors may have foreign-equity limitations, licensing requirements or other conditions.

The BOI identifies areas including banking, airlines, agriculture and media among sectors where specific limitations or conditions may apply. Therefore, before incorporation, a foreign investor should identify the exact business activity and its relevant regulator.

4. What About a Foreign Company Opening an Office in Pakistan?

A foreign company may also establish an appropriate presence in Pakistan. SECP has a specific regulatory framework dealing with foreign companies, including branch and liaison offices. A branch office and a liaison office are not simply interchangeable with a locally incorporated Pakistani company. Their permitted activities, registration requirements and regulatory treatment need to be examined separately.

Therefore, a foreign company considering entering Pakistan should first decide whether it actually needs a Pakistani subsidiary, a branch office, a liaison office or another permissible structure. That decision can have significant consequences for taxation, liability, repatriation, licensing and operations.

5. Can a Foreigner Own Land or Immovable Property in Pakistan?

This is where the legal analysis becomes more complicated.

The Board of Investment’s official FAQ expressly addresses foreign ownership of land and real property. It states that foreigners can own land, while also emphasizing that land is a provincial subject and regulations concerning land acquisition vary from province to province.

The BOI further states that foreign nationals may own land in an individual capacity with permission of the Federal Government, through the Ministry of Interior, and the relevant Provincial Government.

This means that the statement:

“A foreigner cannot own property in Pakistan.” is too broad.

But the opposite statement:

“A foreigner can freely buy any property anywhere in Pakistan without any approval.” is equally unsafe.

The correct answer depends upon the identity of the purchaser, nature of the property, location, purpose of acquisition and applicable permissions and restrictions.

6. Why Does Provincial Law Matter?

Property and land administration in Pakistan involves significant provincial regulation. Therefore, a transaction involving property in Punjab may have different procedural requirements from one involving Sindh, Khyber Pakhtunkhwa or Balochistan. In addition, the property may fall within the jurisdiction of a particular:

• Development authority
• Housing society
• Cantonment
• Cooperative society
• Special Economic Zone
• Industrial estate
• Local authority
• Revenue authority

Each may have its own requirements concerning transfer, eligibility, documentation and approval. Therefore, nationality alone cannot determine whether a particular property transaction is permissible.

7. Does Incorporating a Pakistani Company Solve the Property Issue?

This is an area where careful legal advice is particularly important.

A foreign investor may establish a Pakistani company and, depending upon the applicable law and circumstances, the company may acquire property. The BOI FAQ refers to ownership of land after incorporation of a company with SECP, but it also separately states that a foreign national may own land individually with the required federal and provincial permissions. Therefore, incorporating a company should not be treated as an automatic shortcut around property laws.

The correct question is not merely: “Can I form a company?”

It is: “Can this particular company legally acquire this particular property for this particular purpose?”

That requires transaction-specific due diligence.

8. What Should a Foreign Buyer Check Before Purchasing Property?

A foreign investor should ideally conduct legal due diligence before paying any substantial amount. Among other things, the following should be examined:

Title

Who actually owns the property?

Are the seller’s title documents genuine and complete?

Encumbrances

Is the property subject to:

• Mortgage?
• Charge?
• Litigation?
• Stay order?
• Attachment?
• Acquisition proceedings?
• Other third-party rights?

Revenue Record

The relevant land and revenue record should be examined where applicable.

Development Authority or Society Status

If the property is situated within a housing society or development authority, its transfer rules should be checked.

Land-Use Restrictions

The intended use should correspond with the legally permitted use.

Government Permissions

Any permission required because of the purchaser’s foreign nationality should be obtained before completion of the transaction.

Tax

The purchaser and seller should understand the applicable taxes, duties and withholding obligations.

Foreign Exchange

The method through which the purchase price enters Pakistan should be properly documented.

Source of Funds

The investor should maintain proper evidence establishing the lawful source and movement of investment funds.

9. Foreign Exchange and Repatriation of Investment

Foreign investors are naturally concerned about an important question:

“If I invest my money in Pakistan, can I later take my investment and profits back abroad?”

Pakistan’s foreign-exchange framework contains mechanisms for foreign investors to repatriate certain investments, profits, dividends and other permitted funds, subject to the applicable requirements.

The BOI states that foreign investors may repatriate profits, dividends and other funds in accordance with the applicable foreign-exchange rules and procedures.

The State Bank of Pakistan’s Foreign Exchange Manual contains the regulatory framework dealing with foreign-exchange transactions, including inward and outward remittances, non-resident accounts, securities and repatriation of certain earnings.

This is why foreign investors should not treat the movement of funds as merely a banking issue. The investment structure and the method of bringing money into Pakistan should be planned from the beginning.

10. Can Foreign Investors Obtain Local Financing?

Foreign investment does not necessarily mean that every investment must be financed exclusively from abroad.

The BOI states that foreign investors may access domestic borrowing subject to applicable SECP and SBP rules and relevant debt-equity requirements. However, financing arrangements need to be examined on their own facts.

A foreign-owned company seeking Pakistani financing may have to comply with:

• Banking regulations
• Foreign-exchange regulations
• Corporate requirements
• Security and charge registration
• Debt-equity requirements
• Tax requirements

11. Taxation of Foreign-Owned Businesses

Foreign nationality does not mean exemption from Pakistani taxation.

A foreign investor conducting business in Pakistan may become subject to Pakistani tax laws depending upon the structure, residence status, source of income and nature of activities. The Income Tax Ordinance, 2001 contains specific provisions dealing with non-residents.

Pakistan-source income includes, among other things, income from property situated in Pakistan. FBR specifically identifies rental income from immovable property in Pakistan as Pakistan-source income. Payments to non-residents may also trigger withholding-tax obligations under section 152 and other applicable provisions. Accordingly, a foreign investor should obtain tax advice before structuring the investment rather than after the transaction has already been completed.

12. Tax on Purchase and Sale of Property

Property transactions can involve several tax and duty considerations.

For example, the Federal Board of Revenue provides for advance income tax at the time of purchase and sale of immovable property under sections 236K and 236C of the Income Tax Ordinance, 2001, with rates depending upon factors including property value and taxpayer status.

There may also be provincial stamp duty, registration charges, capital value tax or other applicable levies depending upon the transaction and location.

Therefore, the purchase price is not necessarily the total acquisition cost. A foreign investor should calculate the complete transaction cost before entering into the agreement.

13. What Happens When the Foreign Owner Wants to Sell?

Selling property is not simply the reverse of buying it.

The investor should consider:

• Transfer requirements
• Applicable taxes
• Capital gains
• Withholding taxes
• Society or development authority requirements
• Repatriation of sale proceeds
• Foreign-exchange documentation

Pakistan’s tax law also contains provisions dealing with gains involving assets located in Pakistan, including certain indirect disposals by non-resident companies. Therefore, the exit strategy should ideally be considered at the time of investment, not only when the investor decides to sell.

14. Can a Foreigner Buy Residential Property?

Potentially, yes, but the transaction should be examined under the applicable legal and regulatory framework. The fact that a property is a house, apartment, plot, commercial building, industrial property or agricultural land does not mean that exactly the same legal requirements will apply. The category and location of the property can materially affect the legal analysis.

For example, agricultural land may raise additional questions that would not necessarily arise in the purchase of an apartment in an urban housing project.

15. Agricultural Land Requires Particular Caution

Agricultural land is an area where foreign investors should exercise particular caution.

The BOI identifies agriculture among sectors where foreign-equity limitations can apply, and its investment materials distinguish corporate agriculture farming from other agricultural activity. In addition to federal investment policy, provincial land laws and land-use requirements may become relevant.

Therefore, a foreign investor interested in agricultural land should not rely merely on the general proposition that “foreign investment is allowed.” The specific transaction must be examined.

16. Special Economic Zones and Industrial Investment

Foreign investors establishing manufacturing or industrial businesses may also consider Special Economic Zones (SEZs) and other designated investment areas. The applicable incentives, land arrangements, licensing requirements and tax treatment depend upon the relevant scheme and the particular investment.

A foreign investor should therefore compare ordinary investment with investment through an SEZ or other designated framework before finalizing the structure.

17. Long-Term Residency for Foreign Investors

Pakistan has introduced a significant development through the Foreigners (Long Term Residency) Order, 2025. The Board of Investment describes this as Pakistan’s residency by investment framework.

According to the BOI, eligible foreign investors and their families can obtain long-term residency for periods of 5, 7 or 10 years, subject to the applicable requirements. The framework also provides for investors to establish or expand businesses and, subject to law, acquire or lease land for approved investment projects.

The BOI’s current information identifies a minimum investment threshold of USD 50,000 for the LTR framework and provides that applicants are subject to clearance and compliance requirements. However, residency should not be confused with an unrestricted right to acquire every type of property. LTR holders must still comply with Pakistani law and the requirements applicable to the particular investment or property.

18. Immigration and Business Operations Are Separate Issues

Another common misunderstanding is:

“If I can own a company, I can automatically live and work in Pakistan.”

These are separate legal questions.

A foreign investor may be able to hold shares in a Pakistani company without having an unrestricted right to live and work in Pakistan. Immigration status, visa requirements, work authorization and residency should therefore be examined separately from corporate ownership.

19. AML, KYC and Source of Funds

Foreign investment transactions can also attract scrutiny under Pakistan’s anti-money-laundering and financial-regulatory framework. Banks and other regulated entities may require information concerning:

• Identity of the investor
• Beneficial ownership
• Source of funds
• Purpose of transaction
• Banking trail
• Corporate structure
• Supporting documents

This is not something an investor should attempt to resolve at the last minute. A clean documentary trail from the beginning can prevent significant complications later.

20. Common Misconceptions

“A foreigner cannot own property in Pakistan.”

Too broad.

The BOI recognizes foreign ownership of land and property subject to applicable requirements, including federal and provincial permissions where required.

“Every foreigner must have a Pakistani partner.”

Not correct.

Many sectors permit substantial or 100% foreign ownership, subject to applicable restrictions.

“If I register a company with SECP, I can automatically buy any land.”

Not correct.

Company incorporation and property acquisition are separate legal questions.

“Foreign investment means no Pakistani taxes.”

Incorrect.

Foreign investors may be subject to Pakistani taxation on Pakistan-source income and gains.

“Once I sell the property, I can automatically transfer the money abroad.”

Not necessarily.

Repatriation is subject to applicable foreign-exchange procedures and banking requirements.

21. A Practical Checklist for Foreign Investors

Before investing in property or establishing a business in Pakistan, a foreign investor should ideally complete the following:

1. Identify the Investor

Is the investor an individual, foreign company, partnership or another entity?

2. Identify the Investment

Is it a business, shares, residential property, commercial property, agricultural land or an industrial project?

3. Identify the Location

Which province, district and authority has jurisdiction?

4. Determine the Ownership Structure

Should the investment be held personally or through a Pakistani company?

5. Check Sectoral Restrictions

Does the proposed business require a special license or have foreign-equity limitations?

6. Conduct Title Due Diligence

For property, verify ownership, title, encumbrances, litigation and transferability.

7. Obtain Required Permissions

Do not assume that incorporation or investment approval automatically satisfies property requirements.

8. Plan the Banking Route

Determine how investment funds will enter Pakistan and how future profits or sale proceeds may be repatriated.

9. Obtain Tax Advice

Calculate taxes, duties and withholding obligations before signing the transaction.

10. Document Everything

Maintain proper corporate, banking, tax and property documentation.

22. What Should a Foreign Investor Do Before Signing a Property Agreement?

This is perhaps the most important practical point. A foreign buyer should not begin with the sale agreement. The process should begin with legal due diligence. The lawyer should first determine:

Can this foreign person legally acquire this property?

Can this particular property legally be transferred to this purchaser?

What permissions are required?

What taxes, duties and costs will arise?

And finally:

What is the safest legal mechanism for completing the transaction and transferring the funds?

Only after these questions have been answered should the investor proceed to completion.

23. The Difference Between Legal Possibility and Practical Completion

One of the most important distinctions in foreign investment is the difference between:

“The law permits it in principle.”

and

“The transaction can be completed today without further action.”

A foreign investment may be permissible in principle but still require:

• Regulatory approval
• Provincial permission
• Security clearance
• Tax registration
• Banking documentation
• Corporate registration
• Sector-specific licensing
• Development authority approval

Therefore, a professional legal opinion should be based on the actual proposed transaction, rather than on a general statement about foreign investment.

Conclusion

The legal position can be summarized in one sentence:

A foreigner is not generally prohibited from investing in Pakistan, establishing a business or owning property, but the right to do so is subject to the structure of the investment, the nature and location of the property or business, applicable federal and provincial laws, regulatory permissions, taxation and foreign-exchange requirements.

Pakistan’s investment framework provides significant opportunities for foreign investors, including substantial foreign ownership in many sectors and mechanisms for repatriation of permitted investment returns.

At the same time, foreign investment should never be treated as a legal exemption.

Whether the investor is purchasing a house in Lahore, establishing a technology company in Islamabad, setting up a manufacturing unit, investing in an SEZ or acquiring land for an approved project, the transaction should be structured after proper legal, tax and regulatory due diligence.

The safest investment is not simply an investment with good financial potential. It is an investment that is legally structured, properly documented and capable of being protected.
